These Terms & Conditions govern the purchase and use of website design, development, website care and related services provided by DigitalDelSol (“DigitalDelSol”, “we”, “us” or “our”).
By purchasing a package or service from DigitalDelSol, you (“the Client”, “you” or “your”) agree to these Terms & Conditions.
1. Our Services
DigitalDelSol provides website design, website development, website setup, website care and related digital services.
The exact services included in your project are determined by the package or service purchased and the description displayed on our website at the time of purchase.
Any work, functionality or services not included in the purchased package may be quoted separately.
2. Website Packages
DigitalDelSol offers fixed-price website packages with different levels of functionality and service.
Features, page limits, revision allowances and other inclusions vary between packages. The features included in your project are those stated on the relevant package page at the time your order is placed.
Requests that fall outside the scope of the purchased package may require an additional fee. We will inform you of any additional charges before carrying out the additional work.
3. Project Process
After purchasing a website package and paying the required initial payment, you will be asked to complete our online onboarding process and provide the information and materials required to build your website.
This may include:
- Business information
- Contact information
- Website text
- Images and other media
- Logos and branding
- Social media links
- Menus, products or service information
- Domain information
- Booking or reservation information
- Other information relevant to your website
The project timeline begins once the initial payment has been received and we have received all information and materials reasonably required to begin the project.
Our standard estimated turnaround is 3–5 business days, unless otherwise stated or agreed.
This is an estimated timeframe and not a guaranteed completion date.
Complex requirements, delayed feedback, missing content, third-party integrations, technical issues or circumstances outside our reasonable control may extend the project timeline.
4. Client Responsibilities
The Client is responsible for providing accurate and complete information required for the website.
The Client must ensure that they have permission and all necessary rights to use any text, photographs, logos, trademarks, videos or other materials supplied to DigitalDelSol.
DigitalDelSol is not responsible for copyright, trademark or other legal claims arising from materials supplied by the Client.
The Client is responsible for reviewing the website and checking the accuracy of its content before approving it for launch. This includes, but is not limited to, prices, contact details, opening hours, menus, services, booking information and other business information.
5. Content
Unless otherwise included in the chosen package, the Client is responsible for supplying the core content required for the website.
DigitalDelSol may edit, format or adapt supplied content where reasonably necessary to make it suitable for use on the website.
Where stock photography, AI-generated imagery or other third-party visual assets are used, DigitalDelSol will take reasonable steps to use materials suitable for the intended purpose.
The Client should review and approve any such materials before the website is launched.
6. Revisions
Each website package includes a specified number of revision rounds.
A revision round means one consolidated set of requested changes submitted by the Client after reviewing the website.
Clients are encouraged to review the entire website and submit all requested changes together during each revision round.
Unused revision rounds have no cash value and cannot be transferred to another project or service.
Additional revisions beyond those included in the purchased package may be subject to an additional fee. DigitalDelSol will inform the Client of any additional charge before carrying out the work.
Revision rounds are intended for reasonable amendments to the agreed website design and content.
They do not include:
- A complete website redesign
- A substantial change in the agreed design direction
- Significant new functionality
- Additional pages outside the purchased package
- A substantial change to the original project scope
Such requests may be quoted separately.
7. Client Delays
Website projects require timely information, content, feedback and approvals from the Client.
If required content, information, approvals or feedback are delayed, the estimated completion date may also be delayed.
If DigitalDelSol receives no response from the Client for 30 days, the project may be placed on hold.
Projects that remain inactive for an extended period may need to be rescheduled depending on DigitalDelSol’s availability.
A delay or lack of response from the Client does not remove the Client’s obligation to pay for work already completed.
8. Payments
Website projects require a 50% upfront payment before work begins.
The remaining 50% balance is payable upon completion of the website.
The final balance must be paid within 7 calendar days of DigitalDelSol issuing the final invoice or notifying the Client that the website is complete and ready for launch, whichever occurs later.
For payment purposes, a website will be considered complete when the work included within the agreed project scope has been substantially completed and the Client has been given the opportunity to review the website and use the revision rounds included in their chosen package.
Minor outstanding corrections or requests that do not prevent the website from fulfilling the agreed project scope will not unreasonably delay the website being considered complete.
Requests for additional work outside the agreed project scope will not delay the due date of the final payment for the original project.
DigitalDelSol is not required to launch, publish, transfer or hand over control of a completed website until all outstanding amounts relating to the project have been paid in full.
Any additional features, pages, functionality or services requested outside the original package may be quoted and charged separately.
DigitalDelSol will inform the Client of any additional charge before carrying out chargeable additional work.
Prices displayed on the DigitalDelSol website may change from time to time. The price applicable to a project will be the price agreed when the order is placed.
The Client is responsible for providing accurate billing information and paying any applicable taxes or third-party charges that are not included in the purchased package.
9. Late or Outstanding Payments
If the final balance is not paid within the required 7-day payment period, DigitalDelSol may withhold the launch, publication, transfer or handover of the website until payment has been received in full.
DigitalDelSol may also suspend further work or support relating to the project while an invoice remains overdue.
Any reasonable costs incurred in recovering legitimately outstanding payments may be recoverable from the Client where permitted by applicable law.
10. Cancellations and Refunds
The initial 50% payment reserves project capacity and allows DigitalDelSol to begin work on the Client’s website.
If the Client cancels the project before work has commenced, DigitalDelSol will assess whether the initial payment can be refunded, taking into account any costs already incurred or project capacity reserved.
Once design or development work has commenced, the initial 50% payment is non-refundable, except where otherwise required by applicable law.
If the Client cancels the project after substantial work has been completed, DigitalDelSol reserves the right to invoice the Client for work completed up to the date of cancellation, up to the total agreed project price.
Once a website has been completed and paid for in full, payments for the completed website project are non-refundable except where required by law.
Failure by the Client to provide content, feedback or approval does not automatically constitute cancellation of the project and does not remove the Client’s obligation to pay for work already completed.
Nothing in these Terms & Conditions affects any mandatory legal rights available to the Client.
11. Website Approval and Launch
Before launch, the Client will have an opportunity to review the website and request revisions within the allowance included in the purchased package.
Once the agreed project scope and included revisions have been completed, the website will be considered ready for completion and final payment.
Once the final payment has been received, DigitalDelSol will proceed with the agreed launch, publication or handover process.
After launch, minor errors caused directly by DigitalDelSol’s work and reported within a reasonable period will be corrected where appropriate.
New features, content changes, redesign requests or other modifications requested after project completion may be treated as additional work or handled through an applicable Website Care plan.
12. Website Ownership
Once the website project has been paid for in full, the Client will own the content and custom design work created specifically for their project, subject to third-party licences, platform restrictions and these Terms.
DigitalDelSol retains ownership of its pre-existing tools, templates, reusable code, systems, processes, methods and intellectual property used to create websites.
Third-party software, themes, fonts, applications, plugins, images and other licensed materials remain subject to their respective licences and terms.
Ownership or control of the completed website will not be transferred to the Client until all amounts relating to the project have been paid in full.
13. Portfolio Rights
Unless otherwise agreed in writing, DigitalDelSol may display completed websites and related design work in its portfolio, website, social media accounts, advertising and other promotional materials.
DigitalDelSol may identify the Client’s business and provide a link to the completed website for this purpose.
If a Client does not want their website used in DigitalDelSol’s portfolio or marketing materials, they should contact us.
14. Website Credit
DigitalDelSol may include a small website credit or link in the footer of websites it creates, such as “Website by DigitalDelSol”.
Clients who would prefer this credit to be removed may contact DigitalDelSol.
15. Domains
Where DigitalDelSol assists with domain registration, connection or configuration, the domain should wherever reasonably possible be registered in the Client’s name or under an account ultimately controlled by the Client.
Domain registration and renewal fees may be separate from the website package unless explicitly stated as included.
The Client is responsible for ensuring that domain registrations and renewals remain active unless domain management is specifically included in an ongoing DigitalDelSol service.
DigitalDelSol is not responsible for the loss of a domain resulting from expired registration, incorrect information supplied by the Client, failure to pay third-party renewal fees or circumstances outside our reasonable control.
16. Third-Party Platforms and Services
Websites may rely on third-party services including, but not limited to:
- Website hosting platforms
- Domain registrars
- Booking and reservation systems
- Payment processors
- Analytics services
- Email providers
- Mapping services
- Social media platforms
- Plugins and applications
- Other external integrations
These services are governed by their own terms, pricing, privacy policies and availability.
DigitalDelSol cannot guarantee the continuous availability or functionality of third-party services and is not responsible for outages, changes, price increases, discontinued features, account restrictions or other issues caused by third-party providers.
If a third-party provider changes its service in a way that requires modifications to the Client’s website, additional work may be chargeable unless it is covered by the Client’s Website Care plan.
17. Website Care
Where a Website Care plan is purchased or included with a website package, the services provided will be those described in the applicable Website Care plan at the time of purchase.
Website Care does not normally include major redesigns, complete website rebuilds, substantial new functionality or work outside the scope of the applicable plan.
Website Care plans may have specific limits or conditions relating to updates, maintenance and support.
Where a website package includes Website Care for a fixed period, the included service will end at the conclusion of that period unless renewed.
Renewal will be subject to the Website Care pricing and terms applicable at the time of renewal.
18. Search Engine Optimisation
Where basic SEO or other SEO-related services are included in a package, DigitalDelSol will provide the services specified in that package.
Search engines such as Google are controlled by third parties, and DigitalDelSol cannot control how or when a website is crawled, indexed or ranked.
DigitalDelSol therefore does not guarantee:
- A particular Google or search-engine ranking
- First-page placement
- A particular level of organic traffic
- Indexing within a specific timeframe
- A particular number of enquiries, bookings or sales
Search rankings can change at any time for reasons outside DigitalDelSol’s control.
19. Website Performance and Compatibility
DigitalDelSol aims to create websites that function effectively across commonly used modern devices and web browsers.
However, differences between devices, browsers, operating systems, screen sizes and third-party services mean that identical appearance or functionality across every possible configuration cannot be guaranteed.
DigitalDelSol may optimise images, code and other website elements to improve loading speed, usability and performance.
20. Results and Business Performance
DigitalDelSol does not guarantee that a website will generate a particular level of traffic, enquiries, bookings, sales, revenue or other business results.
Website performance depends on numerous factors outside DigitalDelSol’s control, including the Client’s business, pricing, reputation, location, competition, marketing activity and market conditions.
21. Limitation of Liability
To the maximum extent permitted by applicable law, DigitalDelSol will not be liable for indirect or consequential losses arising from the use of our services or a website created by DigitalDelSol.
This may include, where legally permitted:
- Loss of profits
- Loss of revenue
- Loss of business opportunities
- Loss of data
- Losses caused by website downtime
- Losses resulting from third-party service interruptions
To the maximum extent permitted by law, DigitalDelSol’s total liability relating to a particular project will not exceed the amount paid to DigitalDelSol for the service giving rise to the claim.
Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law.
22. Website Security
DigitalDelSol takes reasonable measures when building and maintaining websites but cannot guarantee that any website, hosting service or online platform will be completely secure or continuously available.
The Client is responsible for protecting their account credentials and notifying DigitalDelSol promptly if they believe an account connected with their website has been compromised.
DigitalDelSol is not responsible for security incidents resulting from compromised Client passwords, actions taken by the Client or third parties, third-party services or circumstances outside our reasonable control.
23. Legal Compliance
The Client is ultimately responsible for ensuring that their business and website comply with laws and regulations applicable to their business, industry and activities.
DigitalDelSol does not provide legal, accounting, tax or regulatory advice.
Where DigitalDelSol provides standard website elements such as privacy-policy links, cookie functionality, consent tools or legal-page templates, these should not be considered a substitute for professional legal advice.
Clients operating in regulated industries should obtain appropriate professional advice concerning their website and business.
24. Communication
DigitalDelSol primarily provides project communication and support electronically, including by email and WhatsApp.
The Client is responsible for providing accurate and current contact information and responding to project communications within a reasonable timeframe.
Instructions, approvals and decisions communicated by the Client through email or WhatsApp may be relied upon by DigitalDelSol when carrying out the project.
25. Force Majeure
DigitalDelSol will not be responsible for delays or failure to perform services caused by circumstances reasonably outside our control.
These may include internet or infrastructure outages, third-party platform failures, natural disasters, severe weather, government action, widespread technical failures or other significant unforeseen circumstances.
26. Changes to These Terms
DigitalDelSol may update these Terms & Conditions from time to time.
The Terms applicable to a website project will generally be those in effect when the relevant service is purchased, unless a change is required by law or otherwise agreed between DigitalDelSol and the Client.
The latest version of these Terms & Conditions will be published on the DigitalDelSol website.
27. Governing Law
These Terms & Conditions and any dispute arising from them will be governed by the laws applicable to DigitalDelSol and the relevant transaction, subject to any mandatory legal rights or jurisdictional rules that apply.
